Terms & Conditions
This document (the "Agreement") constitutes a binding legal agreement between you and Metabolize Health & Fitness Ltd, trading as Metabolize, a company registered in England and Wales under number [registration number] ("Metabolize"), governing your use of our online and mobile services available at www.metabolize.co.uk and all associated subdomains (the "Website"), as well as the Metabolize mobile application ("App").
For the sake of clarity, the collective features and functionalities of the Website, inclusive of all content accessible wirelessly, electronically, or downloadable for printing purposes, are collectively referred to herein as the "Platform."
The Platform includes a self-help program for lifestyle enhancement, featuring expert articles, tools, healthcare tracking technology, and an online community (the "Metabolize Service"). All terms applicable to the Platform also extend to cover the Metabolize Service. The Platform and the Metabolize Service are owned and operated by Metabolize Health & Fitness Ltd.
Certain aspects of our weight-loss programs supported by medications ("Mounjaro-supported program" and "Wegovy-supported program") involve connecting our customers with registered prescribing pharmacists ("Pharmacists"), who are GPhC-registered and hold accredited pharmacist independent prescriber qualifications, to facilitate medical consultations between Pharmacists and patients.
Please note that your acceptance of the terms and conditions of this Agreement is required prior to using the Platform and/or the Metabolize Service. If you do not agree with these terms and conditions, you are not permitted to use the Platform or the Metabolize Service.
References to "we," "us," "our," and "ours" in these terms denote Metabolize, encompassing any parent company, subsidiaries, branches, or affiliates under common ownership or control of Metabolize. References to "you," "your," and "yours" in these terms denote any user of the Platform.
1) Subscriptions & Terms Subscription and auto-renewal.
Your subscription to the Metabolize service includes enrolment into an ongoing/recurring payment plan. Your subscription will automatically renew at the end of each billing period (e.g., weekly, monthly, quarterly, annually) unless cancelled as per the instructions provided. Payment will be charged to your chosen payment method upon confirmation of purchase and at the beginning of each new billing period, unless cancelled.
We reserve the right to modify your pricing and will notify you thirty (30) days in advance of any price changes via email to the address registered with your account. Should you choose not to accept a price change, you may cancel your subscription according to the instructions provided in the notification email and below. Failure to cancel after a price change takes effect and before your new subscription period commences will result in renewal at the revised price, with no additional action required from you, and you authorize us to charge your payment method accordingly.
Cancellation and Refund Policy. You may cancel your subscription at any time before the end of your current billing period. Cancellation will take effect at the end of your current billing period, and you will retain access to Metabolize until then. We do not offer refunds or credits for partially used billing periods. Your 14-day trial officially begins on day 1 of your selected start date.
Note: 14-day trials do not apply to users of our medication-supported program. Due to the nature of medicines exempt under the Consumer Protection (Distance Selling) Regulations 2000, returns are not accepted. For issues like damaged, faulty, or incorrect products, please notify us within two working days of receipt via email, attaching relevant photographs. Replacement or, in some cases, refunds may be offered for prescription-only products found faulty, damaged, or incorrect.
Payment details. We securely maintain your payment information, such as credit card number and expiry date. You are responsible for keeping your payment details current by contacting customer support. By authorizing us to charge your card with updated information, you ensure uninterrupted service. Failure to authorize payment due to card expiration, insufficient funds, or other reasons may result in suspension or termination of your subscription, with prior notice.
2) Contract Information
By using the Platform, you confirm that you are 18 years of age or older, that all registration information submitted to Metabolize is accurate and complete, and that you agree to abide by the terms and conditions outlined in this Agreement, our Privacy Policy, and any Posting Policy (all of which are incorporated into this Agreement). You agree to be legally bound by these terms, subject to applicable laws and regulations.
3) Understanding Metabolize
You acknowledge that the Metabolize Service is a personalised self-help system designed to enhance personal well-being. By accessing the Metabolize Service, you accept sole responsibility for deciding which suggested techniques to implement and how to apply them.
Please note that Metabolize is not a medical organization, and the Metabolize Service is not intended to diagnose, treat, or address any medical conditions. While Metabolize may collaborate with pharmacists to offer medication-assisted weight loss, such decisions are at the discretion of users. Information on the Platform, whether from Metabolize staff or other users, is for informational purposes and does not constitute medical advice. It is strongly recommended to seek medical advice before beginning any weight loss program. If advice from a medical professional conflicts with information from the Platform, the medical advice should prevail.
The Metabolize Service, and Website are not intended for use by minors or pregnant women. Individuals with existing health conditions are advised to seek professional medical advice or reviewed by our prescribing clinicians before starting any weight loss program.
4) Grant of Use
The Platform is accessible to individuals who provide their payment details (e.g., card or PayPal) or whose service is commissioned by a third-party partner (e.g., NHS England, Clinical Commissioning Group, or employer) ("Paid for Services"). Unless otherwise stated, you are granted a limited, non-exclusive, non-transferable, revocable right to make personal non-commercial use of the Platform and Metabolize Service features for which applicable fees have been paid, provided you fully comply with this Agreement.
5) Changes to the Agreement
Metabolize reserves the right to amend this Agreement periodically by updating this page. Registered users will be notified of such changes via the email address on file. Material amendments that affect existing users become effective 7 days after the email notification.
6) Your Health and Metabolize
Prior to beginning any lifestyle improvement program, it is strongly advised to seek medical advice. For concerns regarding your health or medications, consult an appropriate healthcare professional. Individuals with serious medical conditions (e.g., back pain, hypertension, heart disease) or pregnant women should exercise caution, seeking medical advice before engaging in vigorous exercise or making significant lifestyle changes.
The program provided is intended as a guide for lifestyle changes and is not classified as a medical device. Therefore, it should not replace any existing healthcare recommendations. Information provided on the Platform is not a substitute for professional medical advice, diagnosis, or treatment.
Individuals with suspected or diagnosed eating disorders (past or present) may not be eligible to participate in the program. Current best practices for diagnosing and treating eating disorders recommend in-person therapy, which exceeds our scope of practice. Individuals with a current or historical diagnosis of an eating disorder are ineligible for participation.
Metabolize is not suitable for pregnant women due to differing nutritional requirements necessary for fetal growth and development. Breastfeeding women are eligible to participate, provided they inform their health coach to ensure appropriate support aligned with nutritional needs.
Nutritional advice on the Platform, endorsed by nutritionists, is reviewed for accuracy and reflects generally accepted practices. Errors or omissions will be corrected promptly. However, to the maximum extent permitted by applicable laws, authors, editors, and publishers are not liable for errors or consequences arising from the use of Platform information, offering no warranties, express or implied, regarding content accuracy or completeness.
For users of our medication-supported program, you agree to:
- Allow a clinician to review consultation forms to assess medication suitability before prescribing.
- Share details and responses from online consultation questionnaires with our prescribers for clinical assessment, prescribing, dispensing, and delivery purposes.
- Permit Prescribers to review your NHS Summary Care Record (SCR) to verify your identity and ensure medication suitability, with access limited to authorized healthcare professionals. Patients may opt-out, with consequences assessed by lead prescribers. Regardless of consent status, patients are urged to disclose changes to healthcare providers to manage obligations and safety.
- Only use this treatment for yourself.
- Read the Patient Information Leaflet that is supplied with your medication.
- Answer all questions accurately and truthfully so that your Prescriber can make appropriate decisions that are safe for you. You understand that incorrect or false information could put your health at risk.
- Let us know if anything you have told us in the consultation questionnaire, or follow-up questionnaires, changes, especially if you start taking any new medication and get diagnosed with any new medical conditions.
- If you have not consented to us informing your GP of this consultation and resulting treatment, or you've provided incomplete information regarding your GP’s contact retails, then informing your GP as appropriate.
- Place prescription products in your fridge immediately upon delivery.
- Understanding that the prescriber will prescribe the medication that they think is best for you. This may be different to the initial medication that you chose when signing up. If you have any questions, at any point, you can reach out to the Clinical & Pharmacy Team.
- You take full responsibility for the medication pen upon receiving it. You're responsible for injecting the medication correctly and within the prescribed dose plan, and any loss of medication will not be replaced free of charge by Second Nature or prescribing partners. Replacement will result in you paying the full cost for another pen.
7) Privacy
We process your information in accordance with our Privacy Policy. By using the Platform, you consent to such processing, warranting the accuracy of all provided data.
To access the Metabolize Service, you may need to register personal information and create unique usernames and passwords. You are responsible for maintaining password confidentiality and assume full responsibility for all activities conducted under your account. Notify us immediately of any password breaches or security concerns requiring password change or deactivation. Until notification, you are liable for unauthorized account use.
The Platform includes functionality enabling content uploads in public areas (e.g., online groups). By submitting such content, you acknowledge it is non-confidential for all purposes. You grant us, or confirm the owner's grant to us, a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to use, reproduce, create derivative works, modify, publish, edit, translate, distribute, and display such content across any media or medium, in any form or format now known or later developed.
Should you wish to keep information private, refrain from submitting it to public areas. You bear sole responsibility for posted content, its consequences, and reliance on other content within your online group.
8) Intellectual Property Rights
The layout, design, content, and graphics on the Metabolize Platform and Service ("Platform") are protected by UK and other international copyright laws. Except where expressly permitted, you may not reproduce, store, transmit, or create derivative works of any part of the Platform without prior written consent from Metabolize. You may print or display small portions of content strictly for personal, non-commercial use. Use of illustrations, photographs, videos, audio sequences, or graphics separately from accompanying text is prohibited. Unauthorized use may result in termination of your access to the Platform.
9) Prohibited Uses
You agree not to use the Platform to:
- Upload, post, email, or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content.
- Harm minors or solicit information from minors.
- Impersonate any person or entity or misrepresent your affiliation with Metabolize or others.
- Upload, post, or transmit materials that infringe upon any intellectual property rights or violate contractual or fiduciary relationships.
- Transmit unsolicited or unauthorized advertising or promotional materials ("spam").
- Disrupt the normal flow of dialogue or negatively affect other users' experience.
- Interfere with or disrupt the Platform or its associated networks.
Violate any applicable laws or regulations. - "Stalk" or harass other users or Metabolize employees.
- Solicit or collect personal data from other users or third parties without consent.
- Introduce malicious software or otherwise interfere with the Platform's operation.
10) Delivery
Metabolize aims to deliver products promptly to the address provided during checkout. Prescription products typically undergo next-day delivery unless to remote areas. Orders placed on weekends or holidays are processed on the next business day. Delivery to certain remote locations may take longer. Proof of delivery may be required, and delivery instructions from our courier partners should be followed. Metabolize is not liable for delays caused by external factors beyond our control. Customers experiencing significant delays may request a refund for undelivered products.
11) Breach of the Agreement
Metabolize reserves the right to determine if a breach of these terms has occurred and may take appropriate actions, including temporary or permanent suspension of your access to the Platform. Actions may include removing content, issuing warnings, pursuing legal remedies, or disclosing information to law enforcement where necessary.
12) No Warranty
Your use of the Platform is at your own risk. Metabolize provides the Platform "as is" and makes no warranties, express or implied, regarding its quality, availability, fitness for purpose, or accuracy of information. Metabolize is not liable for any direct or indirect losses resulting from your use or inability to use the Platform, including service interruptions, computer failures, or financial losses. This disclaimer does not affect your statutory rights where applicable by law.
13) Limitation of Liability
To the fullest extent permitted by law, Metabolize, its affiliates, officers, directors, employees, or licensors shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform. This includes but is not limited to loss of data, business interruption, or loss of profits, even if foreseeable. Metabolize's liability is limited to the maximum single purchase price of the service in cases where limitations are not enforceable under applicable law.
14) Technology Limitations and Modifications
Metabolize strives to maintain operational functionality but may experience technical difficulties or require maintenance. Metabolize reserves the right to modify or discontinue Platform features temporarily or permanently without notice. Metabolize will endeavor to restore functionality promptly following any disruptions within our control.
15) Third Parties
The Platform may contain links to third-party websites not under Metabolize's control. Metabolize accepts no responsibility for the content of such websites or any damages resulting from their use.
16) Indemnity
You agree to indemnify Metabolize and its affiliates against any claims, damages, or costs arising from your breach of these terms or violations of applicable laws or third-party rights.
17) Assignment by Metabolize
Metabolize may assign or transfer this Agreement or any part thereof without restrictions. You may not assign this Agreement without Metabolize's prior written consent.
18) Entire Agreement
This Agreement constitutes the entire agreement between you and Metabolize regarding your use of the Platform, superseding any prior agreements, written or oral. No additional terms or conditions will apply unless agreed upon in writing by Metabolize.
19) Severability and Waiver
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force. Failure by Metabolize to enforce any provision of this Agreement does not waive our right to enforce such provision in the future.
20) Term and Termination
This Agreement remains in effect until terminated by you or Metabolize. Metabolize may terminate or suspend your access to the Platform at any time for unauthorized use or breaches of this Agreement. Termination by Metabolize does not relieve you of obligations accrued before termination.
21) Governing Law and Disputes
This Agreement is governed by English law. Any disputes arising from this Agreement shall be exclusively resolved by the courts of England, except where prohibited by applicable law.
22) Survivorship
Sections related to intellectual property, limitation of liability, indemnity, severability, waiver, and governing law shall survive termination of this Agreement.
